[Kairos] Source-Available License

This license applies to the [Kairos] software (the "Software") developed by [Kairos Research lab] (the "Licensor"). By accessing or using the Software, you agree to be bound by the terms and conditions of this license.

  1. Definitions

    a. "Software" refers to the [Kairos] software, including all its accompanying packages (VL.AlchemX, VL.LayerX, VL.Touchy, VL.Kairos.Runtime, VL.Kairos), files, documentation, and any updates or modifications provided by the Licensor.

    b. "Source Code" refers to the human-readable form of the Software's code.

    c. "Non-commercial projects" refer to any use of the Software that is not primarily intended for, directed towards, or generating commercial advantage or monetary compensation.

    d. "Commercial projects" refer to any use of the Software that involves commercial exploitation, including but not limited to, projects developed for sale, revenue generation, or any other commercial purposes.

  2. License Grant for Non-commercial Use

    a. The Licensor hereby grants you a worldwide, non-exclusive, royalty-free license to access, use, and modify the Software's Source Code for non-commercial projects.

    b. Non-commercial use includes personal use, academic use, educational use, non-profit use, and any other use that does not involve commercial exploitation.

    c. If you incorporate parts or the entire Source Code of the Software into your non-commercial projects, you must make the Source Code of your projects publicly available.

  3. Commercial License

    a. To use the Software, in whole or in part, within a commercial project, you must obtain a separate commercial license from the Licensor.

    b. The commercial license will grant you the right to use, modify, and distribute the Software for commercial purposes according to the terms specified in the commercial license agreement.

  4. Intellectual Property Rights

    a. The Licensor retains all intellectual property rights, including copyright, in the Software and its Source Code. This license does not grant you any ownership or rights to the Software, except as expressly stated herein.

    b. You may not remove or modify any copyright notices, disclaimers, or other proprietary notices within the Software or its documentation.

  5. Warranty and Liability

    a. The Software is provided "as is" without warranties or conditions of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

    b. In no event shall the Licensor be liable for any direct, indirect, incidental, special, exemplary, or consequential damages arising out of the use or inability to use the Software, even if the Licensor has been advised of the possibility of such damages.

  6. Termination

    a. This license is effective until terminated. The Licensor may terminate this license at any time if you fail to comply with the terms and conditions stated
