are the subject of Solarflare Communications, Inc. patents and patent
applications.  Parties interested in licensing Solarflare's IP are

The parties to this Distribution Agreement are you, the licensee under the
GPLv2, and Solarflare Communications, Inc. ("Solarflare").  OpenOnload
refers to the OpenOnload software in any form, whether as an executable, as
a software package, as object code or as source code.  OpenOnload and its
derivative works are referred to in this Distribution Agreement as the
"Software" and in the GPLv2 license as the "Program".  Subject to your
acceptance of this Distribution Agreement, Solarflare makes the Software
available to you under the GPLv2.  By using the Software or exercising any
of the rights granted to you by Solarflare under the GPLv2, you are
agreeing to be bound by the terms and conditions of this Distribution
Agreement.

1. You will include a copy of this Distribution Agreement with any
verbatim, modified or translated copies of the Software distributed by you
and procure that any recipient of such copies enters into an agreement with
Solarflare that is identical to this one.

2. The parties hereto accept that the GPLv2 is a copyright licence and that
activities other than copying, distribution and modification are not
covered by the GPLv2.  Any use of the Software is subject to the terms and
conditions of this Distribution Agreement.  For the avoidance of doubt,
Solarflare does not, and by entering into this agreement you accept that it
does not, by virtue of the GPLv2 grant you a license under any of its
patents or patent applications to use the Software.

3. Solarflare does not provide any indemnity whatsoever against assertions
of intellectual property infringement by any third party.

4. You will not without the prior written consent of Solarflare disclose to
a third party the results of any performance tests carried out using the
Software.

5. This Distribution Agreement and the GPLv2 do not give you any rights or
licenses other than those explicitly granted in this Distribution Agreement
or the GPLv2.

6. The only warranties granted by Solarflare or its affiliates in
connection with the Software described in this document are those expressly
set forth in this Distribution Agreement or in the GPLv2 license.

7. You will not use OpenOnload Software in medical, life-saving,
life-sustaining, critical control or safety systems, or in any nuclear
facility applications.

8. The applicable law of this agreement shall be English law.

EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER SOLARFLARE
COMMUNICATIONS, INC. NOR ITS AFFILIATES MAKE ANY REPRESENTATIONS OR
WARRANTIES OF ANY KIND (EXPRESS OR IMPLIED) REGARDING THE OPENONLOAD
SOFTWARE OR ANY OF ITS ACCOMPANYING DOCUMENTATION AND HEREBY DISCLAIM ALL
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND
NON-INFRINGEMENT, AND ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING,
COURSE OF PERFORMANCE OR USAGE OF TRADE.

Unless otherwise expressly set forth in this agreement, to the extent
allowed by applicable law (a) in no event shall SOLARFLARE Communications,
Inc. or its affiliates have any liability under any legal theory for any
loss of revenues or profits, loss of use or data, or business
interruptions, or for any indirect, special, incidental or consequential
damages, even if advised of the possibility of such damages; and (b) the
total liability of SOLARFLARE Communications, Inc. or its affiliates
arising from or relating to such agreement or the use of this document
shall not exceed the amount received by SOLARFLARE Communications, Inc. or
its affiliates for that copy of the Software or this document which is the
subject of such liability.
